Merisel, Inc. v. American Capital Strategies, LTD, C.A. No. 3845-VCN (Del. Ch. 2009)

Seitz Ross attorneys represented Merisel in a Delaware Court of Chancery action to recover a reverse break-up fee arising out of American Capital’s termination of the parties’ merger agreement based on American Capital’s assertion that Merisel had suffered a material adverse effect.  The action was successfully mediated before the Court of Chancery.
